Terms of Service

1. Acceptance of Terms

By accessing or using WinkSocial ("the Service"), including our website at joinwink.app, mobile applications, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Eligibility

You must be at least 18 years old to use WinkSocial. By creating an account, you represent and warrant that you meet this age requirement, that you have the legal capacity to enter into a binding agreement, and that all information you provide is accurate and truthful. We reserve the right to verify your age and identity through our KYC (Know Your Customer) process.

3. User Accounts

When you create an account with WinkSocial, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be fully responsible for all activities that occur under your account
  • Not share your account credentials with any third party
  • Not create multiple accounts or fake profiles
  • Not impersonate any person or entity, or misrepresent your affiliation with any person or entity

Authentication is handled through Keycloak using OAuth2 with Authorization Code + PKCE flow. We support email/password login as well as passwordless (magic link) login.

4. Acceptable Use and Prohibited Conduct

You agree not to:

  • Harass, abuse, threaten, defame, or harm other users or any third party
  • Post false, misleading, deceptive, or fraudulent content
  • Post or share content that is illegal, obscene, pornographic, or otherwise objectionable
  • Violate any applicable local, state, national, or international laws or regulations
  • Impersonate any person or entity, or misrepresent your identity or affiliation
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Use automated systems (bots, scrapers, crawlers) to access the Service without our express written permission
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Collect or harvest personal information from other users without their consent
  • Use the Service for any commercial purpose not expressly permitted by these Terms
  • Upload or transmit viruses, malware, or other malicious code
  • Circumvent any access controls, rate limits, or security measures

5. User Content

5.1 Ownership

You retain ownership of all content you create, upload, or post on WinkSocial ("User Content"), including photos, videos, text, comments, and profile information.

5.2 License Grant

By posting User Content on the Service, you grant WinkSocial a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display that content for the purpose of operating, promoting, and improving the Service. This license continues for as long as your content is hosted on the Service.

5.3 Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to post your User Content
  • Your User Content does not infringe on any third party's intellectual property, privacy, or publicity rights
  • Your User Content complies with these Terms and all applicable laws

5.4 Content Moderation

We reserve the right (but have no obligation) to review, edit, remove, or disable access to any User Content that violates these Terms, is reported by other users, or that we otherwise determine to be inappropriate. We may also employ automated systems to detect and remove prohibited content.

6. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and protect your personal information. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

7. Experiences, Bookings, and Tickets

7.1 Creating Experiences

Users may create and host experiences (events) on the platform. As a host, you are responsible for the accuracy of the experience details (title, description, location, date, price) and for complying with all applicable laws and regulations governing the event.

7.2 Booking and Payment

When you book an experience, the required coins are deducted from your WinkCoin wallet balance. You will receive a booking confirmation and a digital ticket with a QR code via email. Booking fees are non-refundable unless the experience is cancelled by the host or WinkSocial.

7.3 Cancellation

Hosts may cancel experiences, in which case attendees will receive a full refund of coins to their wallet. Attendees may cancel their booking subject to the cancellation policy set by the host. WinkSocial reserves the right to cancel any experience that violates these Terms or applicable laws.

8. Subscriptions and Payments

8.1 Subscription Plans

WinkSocial offers subscription plans that provide additional features and WinkCoins:

  • Premium: $5.00/month — 500 coins, unlimited matching and messaging, content creation, basic analytics
  • VIP: $10.00/month — 1,000 coins, all Premium features plus live streaming, 1-on-1 video calls, advanced analytics
  • Platinum: $20.00/month — 2,000 coins, all VIP features plus creator tools, dedicated support, custom branding

Prices are in USD. Local pricing may vary by region. WinkCoins have a value of $0.01 USD per coin and can be used for experience bookings, tipping, and other platform transactions.

8.2 Payment Methods

We accept the following payment methods:

  • M-Pesa: Mobile money payments via STK Push (Kenya)
  • Cryptocurrency: Bitcoin (BTC) and Ethereum (ETH)
  • Other methods: Additional payment methods may be added over time

8.3 Billing and Renewal

Subscriptions are billed on a recurring monthly basis. Your subscription will automatically renew unless you cancel before the end of the current billing period. You can cancel your subscription at any time through your account settings.

8.4 Refunds

WinkCoin purchases and subscription fees are generally non-refundable. Refunds may be issued at our sole discretion in cases of service errors, unauthorized charges, or as required by applicable law. If you believe you are entitled to a refund, please contact us at hello@joinwink.app.

9. Matching and Social Features

WinkSocial provides matching features that allow users to express interest in other users ("winks"). A mutual match occurs when two users both express interest in each other. We do not guarantee matches or any particular outcome from using these features.

You are responsible for your interactions with other users. WinkSocial is not responsible for the conduct of any user, whether online or offline. We encourage you to exercise caution and good judgment when interacting with other users.

10. Creator and Promoter Programs

10.1 Creator Subscriptions

Creators may offer subscription plans to their followers. WinkSocial takes a platform commission on creator subscription revenue: 10% for Premium, 8% for VIP, and 5% for Platinum creators. Creators are responsible for the content they provide to subscribers and must comply with these Terms and all applicable laws.

10.2 Promoter Program

Users may apply to become promoters and receive unique referral codes. Promoters earn rewards based on referred user activity. WinkSocial reserves the right to approve, reject, or terminate promoter applications and partnerships at its sole discretion.

11. Identity Verification (KYC)

Certain features, including creator monetization and withdrawal of earnings, require identity verification through our third-party partner Veriff. You agree to provide accurate information and cooperate with the verification process. We may suspend or limit access to certain features if you fail to complete verification or if verification is unsuccessful.

12. Intellectual Property

The Service and its original content, features, functionality, design, and branding (including the Mom's Note font-derived logo, "w!" mark, and all associated graphics) are and will remain the exclusive property of WinkSocial and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

13. DMCA / Copyright Takedown

If you believe that your copyrighted work has been used on the Service in a way that constitutes copyright infringement, please contact us at legal@joinwink.app with a detailed description of the infringement and proof of your ownership. We will respond to valid DMCA takedown notices in accordance with applicable law.

14. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or our Privacy Policy
  • Conduct that is harmful, illegal, or disruptive to other users or the Service
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Technical issues or security concerns
  • Discontinuation of the Service or any part thereof

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, indemnity, and limitations of liability.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE SERVICE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WINKSOCIAL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Interactions with other users, whether online or offline

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID TO WINKSOCIAL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

17. Indemnification

You agree to defend, indemnify, and hold harmless WinkSocial and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of any third party; or (e) your interactions with other users.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WinkSocial is registered, without regard to its conflict of law provisions. For users in the European Economic Area (EEA), nothing in this section affects your mandatory rights under applicable consumer protection laws.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the applicable jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, services, legal requirements, or other factors. We will notify you of material changes by posting the updated Terms on this page with a new "Last Updated" date and, where appropriate, by email or in-app notification. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
